1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and DCWD ("Company", "we", "our", or "us") governing your access to and use of the OrOut leave management platform, including any associated websites, applications, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
2. Description of Service
OrOut is a cloud-based leave management platform that enables organizations to:
- Manage employee leave requests and approvals
- Track leave balances and allowances
- Integrate with messaging platforms (Slack, Microsoft Teams) for notifications
- Sync with calendar services (Google Calendar, Microsoft Outlook)
- View team availability and coverage
- Generate reports on leave usage and patterns
3. Account Registration
3.1 Account Creation
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Organization Accounts
If you create an account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization.
3.3 Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.
4. Subscription and Payments
4.1 Free Trial
We may offer a free trial period for new accounts. At the end of the trial period, you must subscribe to a paid plan to continue using the Service, unless you are eligible for our free tier.
4.2 Subscription Plans
Paid subscription plans are billed in advance on a monthly or annual basis. The subscription fee is based on the number of users in your organization and the features included in your plan.
4.3 Payment Terms
Payment is processed through our third-party payment processor. You agree to provide accurate billing information and authorize us to charge your payment method for all fees incurred.
4.4 Price Changes
We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price increase takes effect. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.
4.5 Refunds
Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the Service or other users' accounts
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to transmit malware, viruses, or other harmful code
- Scrape, data-mine, or use automated systems to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or alter any proprietary notices or labels on the Service
- Use the Service in a way that could damage our reputation or goodwill
- Resell, sublicense, or provide access to the Service to third parties without authorization
6. User Content
6.1 Your Data
You retain ownership of all data, information, and content that you submit to the Service ("User Content"). You grant us a limited license to use, store, and process User Content solely for the purpose of providing the Service to you.
6.2 Responsibility for Content
You are solely responsible for your User Content and the consequences of submitting it. You represent and warrant that you have all necessary rights to submit User Content and that it does not violate any third-party rights.
6.3 Data Backup
While we take reasonable precautions to protect your data, we recommend that you maintain your own backups of important information.
7. Third-Party Integrations
The Service integrates with third-party services such as Slack, Microsoft Teams, Google Calendar, and Microsoft Outlook. Your use of these integrations is subject to the respective third party's terms of service and privacy policies.
We are not responsible for the actions or omissions of third-party service providers. You authorize us to access and interact with these services on your behalf when you connect them to OrOut.
8. Intellectual Property
8.1 Our Rights
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of DCWD. The Service is protected by copyright, trademark, and other intellectual property laws.
8.2 Trademarks
OrOut, DCWD, and related logos are trademarks of DCWD. You may not use our trademarks without prior written permission.
9. Privacy
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you agree to our Privacy Policy.
10. Service Availability
10.1 Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
10.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice before discontinuing core functionality.
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting us or using the account settings in the Service. Upon termination, your right to use the Service will immediately cease.
11.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.
11.3 Effect of Termination
Upon termination, your data may be retained for a reasonable period to allow you to export it, after which it will be deleted in accordance with our data retention practices.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DCWD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless DCWD and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.
15. Governing Law and Disputes
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
15.2 Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DCWD regarding the Service.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
